These Terms of Service ("Terms") govern your access to and use of Ptah, including the website at byptah.com, the web application at app.byptah.com, and the Ptah Agent software you install on your own infrastructure (collectively, the "Service"), operated by the Ptah team ("we", "us", or "our").
By creating an account, installing the Ptah Agent, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Accounts
1.1 Eligibility
You must be at least 16 years old and legally able to enter into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1.2 Account security
You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. Notify us immediately at security@byptah.com if you suspect unauthorized access.
1.3 One person per account
Each account must be used by a single natural person. Shared accounts are not permitted. If multiple people on your team need access, invite each of them individually.
2. Description of Service
Ptah helps software outsourcing teams respond to client proposals by:
- Providing a workspace for analyzing requirements with the assistance of AI (Claude)
- Generating specifications, diagrams, and Work Breakdown Structures
- Orchestrating the installation and operation of VPS worker agents on infrastructure you provide
- Deploying demo applications to those VPS workers
The Service is provided as a hosted SaaS (Ptah Cloud) and a self-hosted component (Ptah Agent). These Terms cover both components.
3. Acceptable use
You agree not to:
- Use the Service to violate any applicable law or regulation
- Use the Service to infringe on the intellectual property, privacy, or other rights of any person
- Use the Service to generate or deploy malware, phishing content, or other malicious software
- Attempt to reverse engineer, decompile, or gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service, including by overloading our infrastructure or abusing rate limits
- Use the Service to train a competing AI model or product
- Resell or white-label the Service without our prior written consent
We may suspend or terminate your access if we believe you have violated this section.
4. Your content and intellectual property
4.1 You own your content
You retain all ownership of the content you upload to Ptah, the prompts you send to Claude through Ptah, the generated code and artifacts produced during your sessions, and the demo applications deployed to your VPS workers (collectively, "Your Content").
4.2 License to operate the Service
You grant us a limited, worldwide, royalty-free license to host, process, display, and transmit Your Content solely as necessary to provide the Service to you and your organization. This license ends when you delete the content or terminate your account.
4.3 Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, royalty-free license to use them without restriction or compensation.
4.4 Our intellectual property
The Service itself — the Ptah Cloud software, the Ptah Agent, the documentation, and all associated trademarks — remains our property. Nothing in these Terms transfers ownership to you.
5. AI-generated content
5.1 Nature of AI output
Ptah uses Claude, an AI model provided by Anthropic, to generate code, text, diagrams, and other artifacts based on your prompts and uploaded documents. AI-generated output may contain errors, omissions, outdated information, or code that does not function as intended.
5.2 You are responsible for review
You are solely responsible for reviewing, testing, and validating any AI-generated output before relying on it, delivering it to a client, or deploying it to production. Ptah is a productivity tool, not a replacement for human judgment.
5.3 No warranty on AI output
We make no warranty, express or implied, about the accuracy, quality, fitness for purpose, or legal compliance of any AI-generated content. Specifically, we make no representation that AI-generated code is free of bugs, security vulnerabilities, or licensing issues.
6. Third-party services and infrastructure
6.1 Your infrastructure
VPS workers run on infrastructure you provide, and you are responsible for the security, availability, and cost of that infrastructure. We are not responsible for data loss, downtime, or security incidents caused by your VPS provider or by misconfiguration on your part.
6.2 Your Anthropic account
Ptah uses Claude Code CLI under your Anthropic account. You are responsible for maintaining an active Anthropic subscription, paying your Anthropic bill, and complying with Anthropic's terms.
6.3 Sub-processors
We rely on a small set of third-party services to deliver the Service, including Amazon Web Services (S3, SES), Anthropic, Let's Encrypt, and Vercel (for the landing site). Their terms and privacy policies govern how they handle data passed through their platforms.
7. Fees and payment
During the preview period, Ptah is free to use within published rate limits. When we introduce paid plans, we will give existing users at least 30 days' notice before any fees apply to their account. By continuing to use the Service after the notice period, you agree to the pricing in effect at that time.
8. Termination
8.1 By you
You can stop using the Service at any time by deleting your account from the account settings page. Deleting your account removes your personal data within 30 days as described in our Privacy Policy.
8.2 By us
We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if we reasonably believe you pose a security risk, or if we are required to do so by law.
8.3 Effect of termination
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, governing law) will survive.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) USD 100.
11. Indemnification
You agree to defend, indemnify, and hold us harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or in connection with your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Changes to the Service and these Terms
We may modify the Service at any time, including adding, removing, or changing features. We may also update these Terms from time to time. When we make material changes, we will notify account holders by email or in-app banner at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Ptah is incorporated, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be resolved in the courts of that jurisdiction, except where mandatory consumer protection laws grant you a different forum.
